LOKAHI CANOE CLUB BY LAWS

The following By Laws shall apply to the above-named organization, herein called “the Club.” Throughout this document, where personal pronouns or suffixes specifying gender are used, they are meant to refer to persons of either sex.

ARTICLE I: NAME

The name of the Club shall be Lokahi Canoe Club.

ARTICLE II: OFFICES

The address of the principal office of Lokahi Canoe Club shall be P.O. Box 353, Honolulu, Hawaii 96809-0353.

ARTICLE III: PURPOSE

The Club shall be organized exclusively for the following purposes:

  1. To maintain and perpetuate Hawaiian culture through the promotion of Hawaiian water sports;
  2. To teach, train, instruct, and expose children, men and women to the ancient art, craft and history of Hawaiian outrigger canoeing;
  3. To provide means and facilities for activities tending to foster the development and maintenance of strong and healthy minds, bodies and spirits among all people;
  4. To provide opportunities for the interaction and communion of people in the interest of mental and social well-being

The Club is organized exclusively for educational and charitable purposes, including for such purpose, the making of distribution to organizations that qualify as exempt organizations under section 501 (c) (3) of the Internal Revenue Code.

Article IV: DEFINITIONS

Section 1. Member in Good Standing

A member in good standing is a member who has paid all required dues and fees and has discharged all required obligations to the Club for the current term of membership. An active member in good standing, in addition to the foregoing, is an active participant in Club events and activities.

Section 2. Voting Member

A voting member is a member in good standing who has attained the age of 18 years as of the date of any Club election.

Section 3. Majority

Unless otherwise specified, majority means a simple majority of those present.

Section 4. Year

Unless otherwise specified, a year is a calendar year and runs from January 1 through December 31.

ARTICLE V: MEMBERSHIP

Section 1. Membership

All applications for membership in the Club shall be made in writing on an application form provided by the Club.

Completion of all required forms and payment of all required annual dues and fees shall qualify an individual for membership in the Club, with all attendant rights and privileges, for the current calendar year, January 1 through December 31.

Section 2. Dues and Fees

Membership fees shall be established by the Officers of the Club with approval of the Board of Trustees and published annually to the membership no later than February 15.

Payment of annual fees is due within fourteen (14) days from when a member has started paddling with the Club. If a member fails to make payment of the annual dues, he may be barred from further participation in Club practices, races, activities, and meetings until such payment is made.

Section 3. Resignation

Any club member desiring to resign from the Club shall submit his resignation in writing to the Head Coach, who shall submit it to the President for action. No member's resignation shall be accepted until his dues and debts to the Club are paid.

Section 4. Annual Meeting.

There shall be an Annual Meeting of the Club membership called by the President. The meeting shall be scheduled so as to facilitate attendance by all members.

Section 5. Notice of Annual Meeting.

Notice of the Annual Club Meeting shall be published to the membership between 21 and 30 days prior to the date of the meeting.

ARTICLE VI: BOARD OF TRUSTEES

Section 1. Purpose

The Board of Trustees provides long-term continuity to the Club's governance. The Board complements the elected officers of the Club and ensures that the Club's Purposes are furthered through the activities of its members.

Section 2. Composition and Term

The Board of trustees shall be composed of seven (7) members. The Board shall be comprised of permanent and elected members.

Permanent members are those Founding members of the Club who are active members in good standing with the Club. Permanent members serve until (1) they decline to serve or (2) they are no longer active members in good standing with the Club. Subsequently, in either case, the former Trustee may serve as an elected Trustee only.

To be eligible to stand for election as a Board member, the candidate must (1) be a current active member of the Club and (2) have been a member in good standing of the Club for at least five (5) years.

Elected Board members are nominated by the Board and elected by a two-thirds majority vote of the Club's voting membership present at the annual Club meeting so as to maintain the Board's total membership at seven (7) members. Elected members shall serve staggered terms such that at least three (3) Board members, including permanent members, will continue in their seats from one year to the next.

Section 3. Powers and Responsibilities

The Board of Trustees shall have the responsibility of the general supervision of the affairs of the Club in all areas except specific racing activities and shall have the sole authority and responsibility to:

  1. Establish general Club policies;
  2. Approve the annual Club Budget;
  3. Approve any expenses in excess of $1,000.00 that are not anticipated in the budget;
  4. Nominate and elect, on approval of a two-thirds majority of the Trustees, the Chairman of the Board of Trustees at the annual Board meeting;
  5. Remove from office any Officer of the Club. Removal of an Officer requires the unanimous vote of the Board, not counting abstentions.

Section 4. Chairman of the Board

The Chairman of the Board of Trustees shall be elected annually by the Board of Trustees from among its members at its annual meeting and shall hold office at the pleasure of the Board. It shall be the duty of the Chairman to supervise, control, and call all meetings of the Board of Trustees as may be necessary. He shall also have the power to call upon any officer or member of the Club to give reports to the Board.

Section 5. Co-Chairman of the Board

There shall be a Co-Chairman of the Board who shall be appointed by the Chairman and shall serve a term concurrent with the Chairman's. The Co-Chairman shall perform duties of the Chairman upon the Chairman's absence.

Section 6. Quorum

More than half of the Trustees must be present to constitute a quorum and conduct the regular business of the Board.

Section 7. Minutes

The Chairman of the Board shall designate a member of the Board to record accurate minutes of the proceedings of the Board of Trustees.

Section 8. Meetings

The Chairman shall call all meetings of the Board and shall be responsible for notifying all of the Trustees at least 48 hours prior to a meeting, unless it is an emergency.

Section 9. Manner of Acting

The act of the majority of all Trustees, present or not, shall be an act of the Board of Trustees unless the act of a greater number is required by law or the By Laws.

Section 10. Annual Meeting

An annual meeting of the Board shall be held during the month of December.

ARTICLE VII: OFFICERS

Section 1. Officers

An officer of the Club shall be a current member in good standing of the Club.

The officers of the Club shall be the President, Vice-President, Treasurer, Recording Secretary, Corresponding Secretary and Head Coach.

The officers shall be responsible to the Board of Trustees and to the members for the efficient administration and operation of the Club.

The Officers shall be responsible for implementing the policies established by the Board.

Section 2. Election and Term of Office

All officers will be nominated and elected by a majority of the voting members at the Annual Club Meeting and shall serve a term of one year.

ARTICLE VIII: DUTIES OF THE OFFICERS

Section 1. President

The President shall be the principal executive officer of the Club, and shall, in general, supervise and call all meetings of the members. The President shall act and speak on behalf of the Club and shall be responsible for general administration.

Section 2. Vice-President

In the absence of the President, or in the event of his inability or refusal to act, the Vice-President shall perform the duties of the President, and when so acting shall have all the powers of the President; and shall perform such other duties as from time to time be assigned by the President.

Section 3. Treasurer

The Treasurer shall have charge and custody of and be responsible for all funds and securities of the Club; receive and give receipt for money due and payable to the Club from any source whatsoever, and deposit all such money in the name of the Club from any source whatsoever. The Treasurer shall maintain accurate and detailed records and shall report at every meeting of the Officers all transactions regarding finance and the overall financial status of the Club; and in general, perform all the duties of the office of Treasurer.

Section 4. Recording Secretary

The Recording Secretary shall be custodian of the records and reports, including these By Laws, current relevant Race Rules, results of all races and reports of officers and committees of the Club; and in general, perform all the duties of the office of Recording Secretary.

Section 5. Corresponding Secretary

The Corresponding Secretary shall keep the minutes of the meetings of the Officers; shall see that all notices are duly given in accordance with the provisions of these By Laws or as required by law; shall keep a register of the post office address of each member; and in general, perform all duties of the office of Corresponding Secretary.

Section 6. Head Coach

The Head Coach shall have complete authority over such matters as practice, schedules, training program, selection of crews and teams and use of the existing equipment. He may discipline a crew or team member for any act he considers a violation of his rules; and in general, perform all duties of the office of Head Coach.

ARTICLE IX: COMMITTEES

Committees, including but not limited to the following Standing Committees, shall be appointed.

  1. Ways and Means. The Ways and Means Committee shall be appointed by the President and shall concern itself with the means by which the treasury may be increased. It shall be the duty of the committee to investigate and determine fund raising projects. It shall submit all reports and recommendations to the Officers for final approval.
  2. Budget. The Budget committee shall be shall be appointed by the Treasurer and shall be responsible for setting up a budget for the season.
  3. Itinerary. The Itinerary Committee shall be appointed by the Vice-President and shall be responsible for organizing trips for the Club when traveling away from O`ahu for races.
  4. By Laws. The By Laws Committee shall be appointed by the President and shall be responsible for the revision of the By Laws of the Club, at the direction of the members, in accordance with the By Laws of Roberts Rules of Order, Revised.
  5. Disciplinary. The Disciplinary Committee shall be appointed by the President and shall consider complaints of conduct detrimental to the Club and recommend to the President and the Board appropriate discipline for such conduct.
  6. Recruiting. The Recruiting Committee shall be appointed by the Vice-President and shall be responsible for developing and implementing means of retaining current members and recruiting new members.
  7. Nominating. The Nominating Committee shall be appointed by the Vice-President and shall be responsible for drawing up a list of qualified candidates to stand for election to Office.

ARTICLE X: CONDUCT AND DISCIPLINE

All members of the Club shall conduct themselves in a manner consistent with the principles of good sportsmanship so as to reflect credit upon the Club. Any member engaged in conduct detrimental to the Club, especially during Club-sponsored activities, will be subject to disciplinary action by the President. Disciplinary action may include a reprimand, suspension from Club events, or expulsion from the Club. Suspension from Club events or expulsion from the Club requires the formal concurrence of the Board of Trustees.

ARTICLE XI: AMENDMENTS

These By Laws may be altered, amended, or repealed, or new By Laws may be adopted by a 65% majority vote of the voting members of the club.
