Bylaws

Article VI: Board of Trustees

Section 1. Purpose

The Board of Trustees provides long-term continuity to the Club's governance. The Board complements the elected officers of the Club and ensures that the Club's Purposes are furthered through the activities of its members.

Section 2. Composition and Term

The Board of trustees shall be composed of seven (7) members. The Board shall be comprised of permanent and elected members.

Permanent members are those Founding members of the Club who are active members in good standing with the Club. Permanent members serve until (1) they decline to serve or (2) they are no longer active members in good standing with the Club. Subsequently, in either case, the former Trustee may serve as an elected Trustee only.

To be eligible to stand for election as a Board member, the candidate must (1) be a current active member of the Club and (2) have been a member in good standing of the Club for at least five (5) years.

Elected Board members are nominated by the Board and elected by a two-thirds majority vote of the Club's voting membership present at the annual Club meeting so as to maintain the Board's total membership at seven (7) members. Elected members shall serve staggered terms such that at least three (3) Board members, including permanent members, will continue in their seats from one year to the next.

Section 3. Powers and Responsibilities

The Board of Trustees shall have the responsibility of the general supervision of the affairs of the Club in all areas except specific racing activities and shall have the sole authority and responsibility to:

  1. Establish general Club policies;
  2. Approve the annual Club Budget;
  3. Approve any expenses in excess of $1,000.00 that are not anticipated in the budget;
  4. Nominate and elect, on approval of a two-thirds majority of the Trustees, the Chairman of the Board of Trustees at the annual Board meeting;
  5. Remove from office any Officer of the Club. Removal of an Officer requires the unanimous vote of the Board, not counting abstentions.

Section 4. Chairman of the Board

The Chairman of the Board of Trustees shall be elected annually by the Board of Trustees from among its members at its annual meeting and shall hold office at the pleasure of the Board. It shall be the duty of the Chairman to supervise, control, and call all meetings of the Board of Trustees as may be necessary. He shall also have the power to call upon any officer or member of the Club to give reports to the Board.

Section 5. Co-Chairman of the Board

There shall be a Co-Chairman of the Board who shall be appointed by the Chairman and shall serve a term concurrent with the Chairman's. The Co-Chairman shall perform duties of the Chairman upon the Chairman's absence.

Section 6. Quorum

More than half of the Trustees must be present to constitute a quorum and conduct the regular business of the Board.

Section 7. Minutes

The Chairman of the Board shall designate a member of the Board to record accurate minutes of the proceedings of the Board of Trustees.

Section 8. Meetings

The Chairman shall call all meetings of the Board and shall be responsible for notifying all of the Trustees at least 48 hours prior to a meeting, unless it is an emergency.

Section 9. Manner of Acting

The act of the majority of all Trustees, present or not, shall be an act of the Board of Trustees unless the act of a greater number is required by law or the By Laws.

Section 10. Annual Meeting

An annual meeting of the Board shall be held during the month of December.
